This Software License Agreement is to be entered into only after you have been registered as a Member of GoConnect and accepted the GoConnect Terms and Conditions of Use.

Before beginning the installation of this software by clicking the acceptance button, you must consent to be bound by all the terms and conditions of this Software License Agreement. If you do not agree to all the terms and conditions of this Agreement then press the decline button and do not install or use the software.

1. For the purposes of this GoConnect Software License Agreement ("Agreement"), any reference to "GoConnect" shall mean GoConnect Australia Pty Ltd (ACN 090 146 213).

2. The software being licensed under this Agreement ("the Software") includes any GoTrek software and any of its derivatives. The Software is provided free of charge to members of GoConnect ("Members") to enable them to use the Internet access service provided by GoConnect ("the Service").

3. This Agreement constitutes the entire agreement between the parties and may not be amended except as required by GoConnect to ensure the continued provision of the Service.

4. All GoTrek software is owned by GoTrek Pty Ltd (ACN 089 858 471) ("GoTrek"). GoTrek has licensed to GoConnect the right to sub-license and distribute the GoTrek software to any other parties it deems appropriate.

5. GoConnect hereby grants a non-exclusive and non-transferable sub-license to the Member to use the Software and any improvements, enhancements or variations thereof in relation to the provision of the Service.

6. This Agreement does not entitle the Member to receive any support in relation to the Software. GoConnect provides support for the Service through its telephone help desk at the telephone number specified in the help page of the GoConnect website and available during the hours specified therein. These support services are subject to a fee payable at the rates published on GoConnect's web site.

7. The Member must not, without the prior written consent of GoConnect:

1. modify, tamper with or attempt to modify or tamper with the Software;

2. create any derivative works of the Software;

3. decompile, disassemble, reverse engineer or otherwise attempt to derive the source code for the Software;

4. redistribute, encumber, resell, rent, lease, sub-license or otherwise transfer rights to the Software;

5. remove or alter any copyrights, designs, patents, trademarks or any other proprietary notices in the Software; or

6. do anything, or attempt to do anything, which has the effect of blocking, modifying or otherwise interfering with the transmission of advertising material from the GoTrek software transmitted to Members as part of the Service.

8. The Member accepts that the Software contains other third party software distributed by GoConnect with the Software in relation to the provision of the ("Third Party Software").

9. By entering into this Agreement the Member agrees to be bound by the software license agreement contained in the installation of such Third Party Software.

10. GoConnect does not warrant to the Member that the Software is free from defects, is of merchantable quality or is fit for a particular purpose. The Member bears the entire risk as to the quality and performance of the Software and the method of delivery of the Software.

11. GoConnect is not liable to the Member or to any other party for any loss or damage suffered (whether directly or indirectly) in relation to the Software except to the extent that such liability may not be lawfully excluded. GoConnect's liability, if any, is limited to replacing the Software.

12. GoConnect may vary any of the terms and/or conditions of this Agreement from time to time by publishing such variations on GoConnect's web site. The obligation is on the Member to check GoConnect's web site to monitor whether any such variations have been made. The Member's continued use of the Service will constitute the Member's acceptance of such variations.

13. GoConnect may terminate this Agreement at any time if the Member breaches any of the terms and conditions contained herein or ceases to be a Member of GoConnect. Upon termination the Member shall be prohibited from using the Software.

14. Any provision of this Agreement, whether in whole or in part, which is prohibited or unenforceable in any jurisdiction will be ineffective in that jurisdiction to the extent of the prohibition or unenforceability but will not invalidate the remaining provisions of this Agreement in that or any other jurisdiction nor affect the validity or enforceability of that provision in any other jurisdiction.

15. This Agreement shall be governed by the laws of the State of Victoria and the parties irrevocably submit to the non-exclusive jurisdiction of the Courts of Victoria in determining any dispute concerning this Agreement.
